Heerema operates on a global scale, executing complex offshore projects in challenging environments. The Legal Department plays a key role in supporting these operations by managing corporate governance matters and providing guidance on compliance, contracts, and other legal issues. As a Paralegal, you help maintain structured and efficient corporate administration across all Heerema entities and contribute to the continuous improvement of our legal processes.
Your role:
It is your responsibility as a Paralegal to provide legal support to the Legal Department in matters related to corporate law and corporate governance. You will maintain the corporate housekeeping for all Heerema entities and ensure the legal integrity, quality, and proper execution of relevant documentation and processes .
You will work closely with the Corporate Counsel and other members of the Legal Department, as well as with colleagues from the Finance and Tax departments. You will report to a Managing Counsel.
You will be working on:
- Your daily activities areDraft and implement standard corporate documents such as resolutions, minutes, and powers of attorney, ensuring alignment with Heerema’s corporate calendar and governance framework.
- Prepare documentation for the incorporation, registration, or liquidation of Heerema entities and branch offices, including Articles of Incorporation and related filings.
- Support legal registrations and permit applications, such as vessel flag registrations and navigation permits, in coordination with relevant authorities.
- Maintain accurate and up-to-date legal databases and corporate records, including monitoring filing requirements and coordinating submissions to corporate registers and Chambers of Commerce.
- Under supervision, review, draft, and negotiate standard legal agreements such as confidentiality agreements and intercompany agreements.
- Provide standard legal information to external advisors and support due diligence processes as needed.
- Coordinate internal approvals, signatures, and execution of legal documents across departments.

Key ingredients for success:
- A bachelor’s degree in law, e.g. MER
- Knowledge of Dutch and international corporate law
- A minimum of 2 years of practical working experience in the paralegal profession
- You have excellent communication skills in English, both spoken and written
- A proactive attitude with an eye for detail and a structured way of working
- Paralegal training is considered an advantage.
